Hazlewoods ensures school uniform merger comes together neatly

Two school uniform companies have tied themselves together with the help of Gloucestershire company Hazlewoods Corporate Finance.

Working with Bristol firm Roxburgh Milkins, it made sure the deal between Banner Ltd, the UK's largest supplier of school uniforms and William Turner Ltd, the UK's leading supplier of school ties, bags and accessories, came together neatly.

Hazlewoods  is a firm of 400 staff with its business advisers and chartered accountants based at offices in Staverton and Cheltenham.

James Whittaker, corporate finance director at Hazlewoods, advised on the deal structure, oversaw the provision of financial and taxation due diligence and managed the deal to completion.

He said: "I have worked with Banner on a number of acquisitions and we have a process which is as seller friendly as it is buyer friendly and is a pleasure to run.

"William Turner is a fantastic business, built over years and is a testament to the Turner family. I wish all parties continued success together."

Philip Edmonds, senior associate at Roxburgh Milkins, provided legal advice to Banner, including detailed due diligence reporting and highly bespoke transaction documents, delivered to a tight timetable.

He said: "Having supported Banner over a number of years now, we are very pleased to see their continued growth and development.

"Working alongside Hazlewoods on each occasion, we have formed a highly effective advisory team who know the Banner business well. We look forward to supporting them together in the future."

Glenn Leech, CEO of Banner, described both men as key members of its team and said of the deal: "In joining forces, we bring together two market leading businesses with complementary product ranges. It also supports our ambition, over time, of providing a head-to-toe uniform in sustainable eco fabrics."
