BPE Solicitors advises on big healthcare acquisition

Cheltenham-based solicitors BPE advised on a major takeover of a healthcare firm involved in detecting cancer.

The team at BPE was led by John Workman, Senior Partner. Working with Canadian law firm WeirFoulds, on an acquisition spanning the UK and the USA, BPE Solicitors advised Canadian based healthcare company, StageZero Life Sciences, on its takeover of Clinics Operations Limited, a subsidiary of Health Clinics Limited.

StageZero Life Sciences specialises in developing and commercialising diagnostic tests for the early detection of cancer.

This includes the Sentinel Principle platform, which determines biomarkers from whole blood as well as ColonSentry, a blood test which assesses an individual's current risk of colorectal cancer. It also includes Aristotle, a cancer testing kit which screens simultaneously for ten cancers from a single sample of blood.

Clinics Operations Limited is a provider of specialist clinical services across Europe and North America and Health Clinics Limited specialises in patented cancer treatment as well as a managed clinical service to help patients reduce their risk of developing chronic diseases.

As well as John Workman, others involved in the deal were Technology Team Partner, Christine Jackson and Kathryn King (Associate - Corporate).

John Workman said: "This is a significant deal creating a healthcare company with now has the ability to offer support from diagnostics to treatment for a range of chronic diseases including cancer.

"We were delighted to be asked by WeirFoulds to advise StageZero in completing a complex multi-jurisdiction acquisition, bringing together a specialist team who were able to support on all aspects of the deal from the acquisition itself to employment and property issues as well as specialist intellectual property advice."
